1. Agreement to Terms

By accessing or using the services provided by SP DataForge Ltd ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

SP DataForge provides AI automation, software development, consulting, and related technology services. The specific scope, deliverables, and terms of each project will be defined in a separate agreement or statement of work.

3. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information
• Respond to requests for information in a timely manner
• Ensure you have the rights to any materials provided to us
• Comply with all applicable laws and regulations
• Make payments according to agreed terms

4. Intellectual Property

Our Intellectual Property

All pre-existing intellectual property, tools, frameworks, and methodologies developed by SP DataForge remain our property.

Client Intellectual Property

Upon full payment, clients receive ownership or license rights to deliverables as specified in the project agreement. Specific IP terms will be outlined in individual contracts.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of services.

6. Payment Terms

Payment terms will be specified in individual project agreements. Unless otherwise agreed:

• Invoices are due within 14 days of issue
• Late payments may incur interest at 4% above the Bank of England base rate
• We reserve the right to suspend services for overdue accounts

7. Warranties and Disclaimers

We warrant that our services will be performed with reasonable skill and care. However:

• We do not guarantee specific results or outcomes
• Third-party integrations are subject to their respective terms
• AI and automation solutions may require ongoing adjustments

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

8. Limitation of Liability

To the fullest extent permitted by law:

• Our total liability shall not exceed the fees paid for the specific service giving rise to the claim
• We shall not be liable for indirect, incidental, or consequential damages
• We are not liable for losses resulting from circumstances beyond our reasonable control

9. Termination

Either party may terminate services with written notice as specified in the project agreement. Upon termination:

• Client shall pay for all work completed up to the termination date
• We will provide reasonable assistance in transitioning deliverables
• Confidentiality obligations continue to apply

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
